Media and entertainment: Contractual dispute

A large national media and entertainment conglomerate entered into a limited liability company agreement (LLCA) memorializing the rights and obligations of its interest in a jointly owned company. A JAMS dispute arose based on an alleged breach of the implied covenant of good faith and fair dealing.

Our engagement involved two phases of arbitration in which AlixPartners provided opinions regarding certain valuation terms of art included in the LLCA agreement, performed technical valuation research, calculated damages based on a diminution in value damage theory, rebutted damages theories put forward by the opposing expert witness, assisted counsel with fact witness depositions, prepared multiple expert reports, provided deposition and arbitration hearing testimony, and assisted in the development of the financial and damages aspects of the case strategy.

Mortgage real estate investment trust: Dissenting shareholder dispute

A publicly traded mortgage investment real estate investment trust (mREIT) acquired/internalized its external manager. A breach of fiduciary duty dispute and derivative claim arose in the Delaware Court of Chancery based on the alleged unfair price of the internalization transaction.

Our engagement included comprehensive industry and economic research and analysis, an independent valuation of the external manager, rebuttal analysis, preparation of expert reports, and deposition testimony. Through collaboration with our ultimate client’s outside legal counsel, AlixPartners prepared expert reports, provided deposition testimony, and assisted in the development of the financial aspects of the litigation strategy.
