Alan has been advising private-business owners as well as public-corporation senior management for more than 30 years in the areas of M&A, corporate finance, succession planning, monetization of ownership interests, complex accounting matters under generally accepted accounting principles (GAAP), initial public offerings, Sarbanes–Oxley readiness, dispute resolution, expert-witness testimony, and use of leveraged employee stock ownership plans (ESOPs) as alternatives to third-party sales. Previously, he was an audit partner and regional managing partner at PwC.


Alan has a Master of Arts in accounting from Northwestern University and an MBA in marketing from the University of Illinois at Urbana–Champaign. He is a certified public accountant and a member of the Illinois Society of CPAs and the ESOP Association.

  • Advised multiple private companies in the process of preparing the business for a sale transaction including Quality of Earnings analysis, budgeting and forecasting, and Sarbanes Oxley readiness for IPO transactions.
  • Advised multiple prospective acquirers (Private Equity, public companies, Family Offices) in the due diligence process via conducting quality of earnings analysis, purchase price negotiation, and post-acquisition integration.
  • Advised the senior management of a public company in favorably resolving a potential material weakness opinion contemplated by its independent registered auditors.
  • Provided expert-witness testimony to successfully resolve purchase price disputes on behalf of clients, both buyers and sellers.
  • Advised a family-owned business in monetizing its entire ownership interest in the company via a leveraged ESOP transaction after the family terminated its financial advisor in an unsuccessful sale effort to private equity; proceeds received exceeded the terminated sale offer by 30%, and the transaction was completed in less than 10 weeks.
